What you will be doing:

• Advise on corporate structure, entity formation, and legal implications of business operations.
• Lead corporate restructuring initiatives, including mergers, acquisitions, divestitures, and reorganizations.
• Ensure compliance with corporate governance requirements, shareholder agreements, and board resolutions.
• Oversee regulatory submissions, filings, and compliance with corporate laws, including Malta Business Registry or equivalent authorities.
• Work closely with tax advisors and finance teams to assess tax implications of corporate transactions.
• Directly negotiating legal terms with suppliers.
• Collaborating with professionals from different departments to establish strong relationships with both internal and external stakeholders.
• Offering general legal advice and support on various issues.
• Increasing business awareness of key commercial legal risks and their mitigations.
  

Who we are looking for:

• Minimum of 5 years PQE as a qualified lawyer in Malta, with experience either in-house or in a private practice law firm.
• Must be based in Malta and have an excellent command of the English language, both written and spoken.
• Ability to analyze complex topics and provide practical advice and solutions.
• Strong business acumen and commercial awareness, with the ability to identify and resolve legal issues quickly and effectively.
• Willingness to mentor and develop junior members of the legal team.
• Experience in the gaming, marketing, or technology sectors would be advantageous but not required. A willingness to learn and curiosity about new areas are sufficient.
